1. INTRODUCTION

1.1 Welcome to KnoxxPay

Welcome to KnoxxPay Technologies Limited (“KnoxxPay”, “we”, “our”, or “us”). These Terms of Use (these “Terms”) govern your access to and use of our website, mobile applications, application programming interfaces (APIs), and related services (collectively, the “Platform”).

1.2 About KnoxxPay

KnoxxPay Technologies Limited is a technology company registered under the laws of the Federal Republic of Nigeria (RC Number: 8773419). We operate a digital platform that provides technology solutions enabling users to access bill payment services and cryptocurrency exchange services through third-party service providers.

1.3 Important Notice – Not a Financial Institution

KnoxxPay is a technology platform, not a financial institution, bank, or licensed virtual asset service provider. We facilitate access to services provided by third-party partners, including:

  • Bill payment services through licensed payment service providers
  • Cryptocurrency exchange services through third-party virtual asset platforms
  • Payment processing services through authorized payment processors

1.4 No Investment or Financial Advice

Nothing contained in the Platform constitutes investment, financial, accounting, tax, or legal advice. Any decisions based on information obtained through the Platform are your sole responsibility. We make no representations that any investment, transaction, or service is suitable for you. You are responsible for consulting with professional advisors as necessary before making any financial decisions.

1.5 Read These Terms Carefully

Before using the Platform, you must read these Terms carefully and consult a professional lawyer if you have any doubt or questions. If you do not agree to these Terms or any amendments made from time to time, you must immediately stop using the Platform.

2. ACCEPTANCE OF TERMS

2.1 Agreement to Terms

These Terms constitute a legally binding agreement between you and KnoxxPay Technologies Limited. By:

  • Creating a KnoxxPay account
  • Accessing or using the Platform
  • Clicking “I Agree” or similar buttons
  • Continuing to use the Platform after changes to these Terms

You unconditionally accept and agree to be bound by these Terms.

2.2 Definitions

For purposes of these Terms:

  • “User”“you”, and “your” refer to any person or entity using the Platform
  • “Account” means your KnoxxPay user account
  • “Services” means all services accessible through the Platform
  • “Third-Party Providers” means our partner companies that provide bill payment, cryptocurrency exchange, and payment processing services
  • “Virtual Assets” or “Cryptocurrency” means digital assets including but not limited to Bitcoin, Ethereum, USDT, and other supported cryptocurrencies
  • “Fiat Currency” means government-issued currency, specifically Nigerian Naira (NGN)

2.3 Capacity and Authority

By accepting these Terms, you represent and warrant that:

  • You have the legal capacity to enter into binding contracts
  • If acting on behalf of a company or organization, you have authority to bind that entity
  • Your use of the Platform will comply with all applicable laws

3. AMENDMENT OF TERMS

3.1 Right to Modify

We reserve the right to modify, amend, or update these Terms at any time in our sole discretion. We will make reasonable efforts to notify you of material changes by:

  • Posting notice on the Platform
  • Sending email notification to your registered email address
  • Displaying an in-app notification

3.2 Effective Date of Changes

Amendments become effective immediately upon posting to the Platform unless otherwise stated. Your continued use of the Platform following any amendments constitutes acceptance of the modified Terms.

3.3 Rejection of Amendments

If you do not agree with any amendments, you must immediately discontinue using the Platform and may close your Account in accordance with Section 24 (Account Deletion).

4. ELIGIBILITY

4.1 Age Requirement

You must be at least 18 years of age or the legal age of majority in your jurisdiction to use the Platform. We do not knowingly collect information from or provide services to anyone under 18 years of age.

4.2 Eligibility Requirements

By registering for an Account, you represent and warrant that:

  • You are at least 18 years old or of legal age in your jurisdiction
  • You have not been previously suspended or banned from the Platform
  • You are not subject to any trade embargoes, economic sanctions, or restrictions by any government authority
  • You are not listed on any sanctions list, including but not limited to the United Nations Security Council Sanctions List
  • You have the legal capacity and authority to enter into these Terms
  • Your use of the Platform will not violate any applicable laws, regulations, or legal obligations
  • You are not located in, or a national or resident of, any restricted jurisdiction (see Section 5.3)

4.3 Corporate Users

If you are acting as an employee, agent, or representative of a legal entity, you represent and warrant that:

  • You have all necessary rights and authorizations to bind such entity to these Terms
  • The entity is duly organized and validly existing under applicable law
  • The entity has authorized your use of the Platform on its behalf

4.4 Children’s Privacy

Our Services do not address anyone under the age of 18. We do not knowingly collect personally identifiable information from minors. If you are a parent or guardian and believe your child has provided us with personal information without your consent, please contact us immediately at support@knoxxpay.com, and we will take steps to remove that information from our systems.

5. SCOPE OF SERVICES

5.1 Platform Services

The Platform provides technology solutions that enable you to access the following services through our Third-Party Providers: a) Bill Payment Services:

  • Airtime and data top-up
  • Electricity bill payments
  • Cable TV subscriptions
  • Internet services
  • Other utility payments as may be added from time to time

b) Cryptocurrency Services:

  • Purchase of virtual assets using Fiat Currency
  • Sale of virtual assets for Fiat Currency
  • Exchange between different virtual assets
  • Custodial wallet services (provided by Third-Party Providers)

c) Payment Services:

  • Fiat currency deposits via bank transfer
  • Fiat currency withdrawals to bank accounts
  • Transaction processing and settlement

5.2 Third-Party Service Provision

IMPORTANT: KnoxxPay does not directly provide bill payment, cryptocurrency exchange, custody, or payment processing services. Licensed Third-Party Providers provide all such services. KnoxxPay acts solely as a technology intermediary connecting you with these Third-Party Providers. You acknowledge and agree that:

  • Third-Party Providers, not KnoxxPay, ultimately provide services
  • Third-Party Providers may have their own terms and conditions
  • KnoxxPay’s role is limited to providing the technology platform
  • Service availability depends on Third-Party Provider operations
  • KnoxxPay has no control over Third-Party Provider actions, policies, or service quality

5.3 Geographic Restrictions

Available Jurisdictions: KnoxxPay currently operates in Nigeria. Our services are only available to users physically located in Nigeria. Restricted Jurisdictions: In compliance with international anti-money laundering (AML) and counter-terrorism financing (CTF) regulations, we do not provide services to users in the following jurisdictions: Afghanistan, Belarus, Burundi, Central African Republic, Cuba, Democratic People’s Republic of Korea (North Korea), Democratic Republic of the Congo, Ethiopia, Guinea, Guinea-Bissau, Haiti, Iran, Iraq, Lebanon, Libya, Mali, Myanmar, Nicaragua, Russia, Somalia, South Sudan, Sudan, Syria, Venezuela, Yemen, Zimbabwe, and any other jurisdiction subject to comprehensive sanctions by the United Nations, United States, European Union, or United Kingdom.

5.4 Service Modifications

We reserve the right to:

  • Add, modify, suspend, or discontinue any service at any time without prior notice
  • Impose limits on certain features or restrict access to parts of the Platform
  • Change service fees and pricing (see Section 14)
  • Update the list of supported virtual assets, bill payment providers, or services

6. ACCOUNT REGISTRATION AND VERIFICATION

6.1 Account Creation

To use the Platform, you must create an Account by providing accurate, complete, and current information, including but not limited to:

  • Full legal name
  • Email address
  • Date of birth
  • Bank Verification Number (BVN)
  • Other information as required

6.2 Account Accuracy

You agree to:

  • Provide only true, accurate, current, and complete information
  • Maintain and promptly update your Account information to keep it accurate and complete
  • Notify us immediately of any unauthorised use of your Account
  • Accept responsibility for all activities conducted through your Account

6.3 Know Your Customer (KYC) Requirements

In compliance with Nigerian Anti-Money Laundering (AML) and Counter-Terrorism Financing (CTF) regulations, you must complete our KYC verification process before accessing certain services. Required Documents:

  • Valid government-issued photo identification (National ID, International Passport, Driver’s License, or Voter’s Card)
  • Selfie photograph or video verification
  • Additional documents as may be requested for enhanced due diligence

Verification Process:

  • You authorise us to use third-party identity verification service providers
  • Verification typically takes 1-3 business days, but may take longer
  • Access to certain services is restricted until verification is complete
  • We may request additional information or documents at any time

6.4 KYC Refresh and Enhanced Due Diligence

We may periodically require you to:

  • Refresh your KYC information by submitting updated documents
  • Complete Enhanced Due Diligence (EDD) procedures, which may include video verification, source of funds documentation, or in-person meetings
  • Provide additional information about your transactions or business activities

Failure to comply with KYC refresh or EDD requests may result in account restrictions or suspension.

6.5 Transaction Limits

Account transaction limits are based on your verification level:

  • Unverified Accounts: No access to services
  • Basic Verification: Limited daily/monthly transaction limits
  • Full Verification: Standard transaction limits
  • Enhanced Verification: Higher transaction limits

Specific limit amounts are displayed in your Account dashboard and may be adjusted at our discretion.

6.6 Data Retention

We are required by law to retain your KYC information and transaction records for a minimum of five (5) years after your Account is closed or suspended. This requirement continues even after you terminate your relationship with KnoxxPay.

7. ACCOUNT SECURITY

7.1 Your Security Responsibilities

You are solely responsible for:

  • Maintaining the confidentiality of your login credentials (username, password, PIN, biometric data)
  • All activities conducted through your Account, whether authorised or not
  • Keeping your contact details current to receive security alerts
  • Securing the email address and phone number associated with your Account
  • Enabling two-factor authentication (2FA) and other available security features
  • Protecting your device from malware, viruses, and unauthorised access

7.2 Strong Password Requirements

You must create a strong password that:

  • Contains at least 8 characters
  • Includes uppercase and lowercase letters
  • Includes numbers and special characters
  • Is unique and not used for other accounts
  • Is changed periodically

7.3 Two-Factor Authentication

We strongly recommend (and may require) enabling two-factor authentication (2FA) on your Account. You are responsible for:

  • Securing your 2FA device or application
  • Maintaining backup authentication codes
  • Not sharing 2FA codes with anyone

7.4 Security Best Practices

For your protection:

  • Never share your password, PIN, or 2FA codes with anyone
  • KnoxxPay will never ask you for your password or PIN via email, phone, or any other channel
  • Be cautious of phishing attempts; verify that communications are from official KnoxxPay channels
  • Only access the Platform through official KnoxxPay applications or the official website
  • Keep your mobile app and web browser updated to the latest version
  • Log out after each session, especially on shared or public devices
  • Monitor your Account regularly for unauthorised activity

7.5 Official Communication Channels

KnoxxPay will only communicate with you through:

  • Email from @knoxxpay.com domain addresses
  • In-app notifications
  • SMS from registered KnoxxPay phone numbers
  • Official social media accounts (verified accounts only)

Be wary of communications from other sources claiming to represent KnoxxPay.

7.6 Unauthorised Access

If you suspect or become aware of:

  • Unauthorised access to your Account
  • Loss or theft of your login credentials
  • Suspicious activity on your Account
  • Receipt of suspicious communications claiming to be from KnoxxPay

You must immediately:

  1. Change your password
  2. Contact our support team at support@knoxxpay.com
  3. Follow any additional security measures we recommend

7.7 Limitation of Liability for Security Breaches

You accept full responsibility for maintaining the security of your Account. We are not liable for any loss, damage, or unauthorised transactions resulting from:

  • Your failure to maintain adequate security
  • Sharing of your credentials with third parties
  • Use of weak or compromised passwords
  • Failure to enable available security features
  • Your device being compromised by malware or viruses
  • Phishing attacks or social engineering

8. USING THE PLATFORM

8.1 Permitted Use

You may use the Platform only for lawful purposes and in accordance with these Terms. Permitted uses include:

  • Making bill payments through our Third-Party Providers
  • Buying and selling virtual assets through our Third-Party Providers
  • Managing your Account and transaction history
  • Accessing customer support

8.2 Prohibited Uses

You agree NOT to:

  • Use the Platform for any illegal purpose or in violation of any laws
  • Violate any applicable local, state, national, or international law or regulation
  • Engage in fraudulent, deceptive, or misleading activities
  • Impersonate any person or entity or falsely represent your affiliation
  • Interfere with or disrupt the Platform or servers
  • Attempt to gain unauthorised access to any part of the Platform, other Accounts, or computer systems
  • Use automated systems (bots, scrapers, crawlers) to access the Platform
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Remove or modify any copyright, trademark, or proprietary notices
  • Use the Platform to transmit viruses, malware, or harmful code
  • Create multiple Accounts to circumvent restrictions or limits
  • Share your Account with third parties
  • Conduct transactions on behalf of third parties without authorization
  • Engage in market manipulation, wash trading, or price manipulation
  • Use the Platform for money laundering, terrorist financing, or other financial crimes

8.3 Acceptable Use Policy

You must comply with our Acceptable Use Policy, which prohibits:

  • Transactions involving illegal goods or services
  • High-risk or restricted business activities (see Section 17)
  • Transactions with sanctioned individuals or entities
  • Activities that violate third-party intellectual property rights
  • Obscene, defamatory, or harmful content

8.4 Consequences of Prohibited Use

Violation of this section may result in:

  • Immediate account suspension or termination
  • Forfeiture of funds in your Account
  • Reporting to law enforcement or regulatory authorities
  • Legal action to recover damages
  • Permanent ban from the Platform

9. BILL PAYMENT SERVICES

9.1 Service Description

Through the Platform, you may access bill payment services provided by licensed Third-Party Providers. Supported services include but are not limited to:

  • Airtime and mobile data purchases
  • Electricity bill payments (prepaid and postpaid)
  • Cable TV and streaming service subscriptions
  • Internet service provider payments
  • Education payments
  • Insurance payments
  • Government services and fees

9.2 Third-Party Provider Relationship

Important: Bill payment services are provided directly by Third-Party Providers, not KnoxxPay. We facilitate the connection and transaction processing but do not control:

  • Service availability or delivery
  • Pricing or fees charged by service providers
  • Service quality or customer support for the underlying service
  • Billing disputes or service interruptions

9.3 Payment Instructions

To make a bill payment:

  1. Select the service category and provider
  2. Enter the required details (meter number, account number, phone number, etc.)
  3. Specify the amount or package
  4. Review the transaction details and fees
  5. Confirm the payment

You are solely responsible for ensuring all payment details are accurate. We are not liable for payments made with incorrect information.

9.4 Transaction Completion

Once you confirm a bill payment:

  • The transaction cannot be cancelled, reversed, or modified
  • Funds are immediately deducted from your Account balance
  • Processing time depends on the Third-Party Provider (usually instant to 24 hours)
  • You will receive a transaction receipt via email and/or in-app notification

9.5 Failed Transactions

If a bill payment fails due to:

  • Insufficient funds in your Account
  • Invalid payment details
  • Third-Party Provider system issues
  • Network or technical problems

We will attempt to refund the amount to your Account balance within 24-72 hours. However, we cannot guarantee refund timing as it depends on Third-Party Providers.

9.6 Disputes and Refunds

For bill payment disputes (wrong amount, service not received, duplicate payment):

  1. Contact our support team within 7 days of the transaction
  2. Provide transaction details and evidence of the issue
  3. We will investigate and liaise with the Third-Party Provider
  4. Resolution time varies (typically 5-14 business days)

Refunds are not guaranteed and depend on Third-Party Provider policies.

9.7 Limitation of Liability

KnoxxPay is not responsible for:

  • Service delivery failures by Third-Party Providers
  • Quality, availability, or interruption of services paid through the Platform
  • Billing disputes between you and service providers
  • Delays in transaction processing
  • Errors in the payment details you provide

10. CRYPTOCURRENCY SERVICES

10.1 Service Description

Through the Platform, you may access cryptocurrency exchange services provided by licensed Third-Party Providers. These services include:

  • Purchasing virtual assets using Nigerian Naira
  • Selling virtual assets for Nigerian Naira
  • Exchanging between different virtual assets
  • Storing virtual assets in custodial wallets (provided by Third-Party Providers)

10.2 Supported Virtual Assets

The list of supported virtual assets varies and is determined by our Third-Party Providers. Commonly supported assets include:

  • Bitcoin (BTC)
  • Ethereum (ETH)
  • Tether (USDT)
  • Other assets as displayed on the Platform

We reserve the right to add, remove, or restrict any virtual asset at any time without prior notice.

10.3 Third-Party Provision and Custody

Critical Notice:

  • Licensed Third-Party Providers, not KnoxxPay, provide cryptocurrency services
  • Virtual assets are held in custody by Third-Party Providers, not KnoxxPay
  • KnoxxPay does not have access to or control over your virtual assets
  • You are subject to the Third-Party Provider’s terms, custody arrangements, and security measures

10.4 Virtual Asset Wallet

Your cryptocurrency wallet is provided and managed by our Third-Party Providers. You acknowledge that:

  • The wallet is custodial (you do not control the private keys)
  • The Third-Party Provider holds virtual assets in your wallet
  • Wallet availability depends on Third-Party Provider operations
  • We may change Third-Party Providers, which could affect wallet access or require asset migration

10.5 Buying Virtual Assets

To purchase virtual assets:

  1. Ensure sufficient NGN balance in your Account
  2. Select the virtual asset and amount
  3. Review the exchange rate, fees, and total cost
  4. Confirm the transaction

Important Terms:

  • Third-Party Providers provide exchange rates and fluctuate constantly
  • The rate shown at confirmation is final; you cannot request a different rate after confirmation
  • Transactions are processed at the rate confirmed, even if market rates change during processing
  • Processing time varies (instant to several hours) depending on blockchain network conditions

10.6 Selling Virtual Assets

To sell virtual assets:

  1. Ensure sufficient virtual asset balance in your wallet
  2. Select the virtual asset and amount to sell
  3. Review the exchange rate, fees, and NGN amount you will receive
  4. Confirm the transaction
  5. NGN proceeds are credited to your Account balance

Same rate terms as buying apply.

10.7 Transaction Finality

All cryptocurrency transactions are final and irreversible. Once confirmed:

  • Transactions cannot be cancelled, reversed, or modified
  • Errors in transaction details (wrong amount, wrong asset) cannot be corrected
  • Sending virtual assets to the wrong addresses cannot be recovered
  • We cannot reverse blockchain transactions

10.8 Network Fees

Blockchain transactions may incur network fees (also called gas fees or miner fees):

  • The blockchain network, determines network fees
  • Network fees are paid to blockchain miners/validators, not to KnoxxPay or Third-Party Providers
  • Network fees vary based on network congestion
  • You will be shown network fees before confirming transactions
  • Network fees are non-refundable, even if a transaction fails

10.9 Transaction Delays

Cryptocurrency transactions may be delayed due to:

  • Blockchain network congestion
  • Low network fees (for blockchains with fee markets)
  • Third-Party Provider processing time
  • Enhanced security checks for large transactions
  • Regulatory or compliance reviews

We are not responsible for delays caused by factors outside our control.

10.10 Unsupported Virtual Assets

Do not send unsupported virtual assets to your KnoxxPay wallet addresses. We are not responsible for:

  • Recovery of unsupported assets sent to your wallet
  • Loss of assets sent on wrong blockchain networks (e.g., ERC-20 tokens sent to a Bitcoin address)
  • Assets sent to addresses not generated through KnoxxPay

11. DEPOSITS AND WITHDRAWALS

11.1 Fiat Currency Deposits

You may deposit Nigerian Naira into your Account through:

  • Bank transfer to designated KnoxxPay collection accounts
  • Debit/credit card payments (subject to availability)
  • Other payment methods as may be supported

Deposit Requirements:

  • Deposits must be made from a bank account in your name
  • Third-party deposits are strictly prohibited
  • You must include the correct reference code provided by KnoxxPay
  • Minimum and maximum deposit limits apply (displayed in-app)

11.2 Deposit Processing

  • Deposits are typically processed within minutes to 24 hours
  • Processing time depends on your bank and payment method
  • Deposits made outside business hours or on weekends may take longer
  • We reserve the right to reject or return deposits that violate these Terms

11.3 Deposit Verification

We may verify deposits by:

  • Requesting bank statements showing the deposit
  • Conducting enhanced due diligence for large amounts
  • Confirming source of funds

Funds may be held pending verification completion.

11.4 Failed or Incorrect Deposits

If you make a deposit:

  • Without the correct reference code
  • To an incorrect account
  • From a third-party account
  • Exceeding your limits

The deposit may be rejected, delayed, or returned. We are not responsible for funds lost due to incorrect deposit details.

11.5 Fiat Currency Withdrawals

You may withdraw NGN from your Account to your registered Nigerian bank account. Withdrawal Requirements:

  • Withdrawals only to Nigerian bank accounts in your verified name
  • Third-party withdrawals are strictly prohibited
  • Minimum and maximum withdrawal limits apply
  • You must have completed KYC verification
  • Sufficient account balance to cover withdrawal amount and fees

11.6 Withdrawal Processing

  • Withdrawal requests are processed on business days (Monday-Friday, excluding public holidays)
  • Processing time: typically within 24-48 hours, up to 5 business days
  • Withdrawals may be delayed for security reviews, compliance checks, or during peak periods
  • We reserve the right to refuse, delay, or cancel withdrawals that violate these Terms or applicable laws

11.7 Withdrawal Verification

We may require additional verification for withdrawals:

  • OTP (one-time password) sent to your registered phone/email
  • Enhanced security checks for large amounts
  • Video verification or additional identity documents
  • Explanation of the source of funds

11.8 Erroneous Transactions

If funds are deposited or withdrawn in error:

  • You must immediately notify us at support@knoxxpay.com
  • You have no right to retain funds received in error
  • You must return erroneous funds as directed by KnoxxPay
  • We reserve the right to deduct erroneous credits from your Account
  • Failure to return funds may result in legal action and account termination

12. TRANSACTION INSTRUCTIONS AND PROCESSING

12.1 Processing Instructions

We process all transactions according to your instructions submitted through the Platform. You are solely responsible for:

  • Accuracy of all transaction details
  • Verification of recipient information
  • Confirmation of amounts and fees
  • Understanding the implications of your transactions

12.2 No Guarantee of Identity

We do not guarantee:

  • The identity of any recipient, sender, or third party
  • That any transaction will be completed successfully
  • The quality, safety, or legality of goods or services purchased with virtual assets
  • That recipients will fulfil their obligations to you

12.3 Verification Obligation

You must carefully verify all transaction details before submitting instructions. We are not responsible for:

  • Transactions sent to the wrong addresses or accounts
  • Incorrect amounts or currencies
  • Duplicate transactions
  • Unintended recipients

12.4 Transaction Status

Transactions may have the following statuses:

  • Pending: Transaction initiated but not yet complete
  • Processing: Transaction being processed by Third-Party Providers or blockchain network
  • Completed: Transaction successfully executed
  • Failed: Transaction could not be completed
  • Cancelled: Transaction cancelled before processing

Funds associated with pending transactions are reserved and not available for other transactions.

12.5 No Control Over Third Parties

We have no control over:

  • Delivery, quality, safety, or legality of goods or services purchased through third parties
  • Whether buyers or sellers complete their obligations
  • Third-party disputes or claims
  • Blockchain protocol operations, changes, or failures

13. RISK WARNINGS

13.1 General Risk Warning

Use of the Platform and associated services involves significant risks. You should carefully assess whether your financial situation and risk tolerance are suitable for using our services before proceeding.

13.2 Cryptocurrency Risks

Virtual asset markets are highly volatile and risky. You acknowledge and accept the following risks: a) Price Volatility: Virtual asset prices can fluctuate dramatically within short periods, potentially resulting in significant gains or losses. b) Market Risk: Virtual asset markets operate 24/7 and can be influenced by factors including:

  • Regulatory developments
  • Technological changes
  • Market sentiment
  • Global economic conditions
  • Security breaches
  • Media coverage

c) Liquidity Risk: Virtual assets may become illiquid, meaning you may not be able to sell them quickly or at desired prices. d) Technology Risk: Virtual assets rely on blockchain technology which may experience:

  • Software bugs or vulnerabilities
  • Network congestion or failures
  • Forks (splits in the blockchain)
  • Changes to consensus rules
  • 51% attacks or other security exploits

e) Regulatory Risk: Virtual assets are subject to evolving and uncertain regulatory treatment. Regulatory changes may:

  • Prohibit or restrict virtual asset use
  • Impose new compliance obligations
  • Affect virtual asset value or availability
  • Limit your ability to access or use your assets

f) Loss of Private Keys: If Third-Party Providers lose access to private keys or if custodial arrangements fail, your virtual assets may become permanently inaccessible. g) Irreversibility: Blockchain transactions are generally irreversible.   • Provider insolvency or business failure
  • Service interruption or unavailability
  • Poor service quality or errors
  • Changes to provider terms or fees
  • Provider fraud or misconduct
  • Loss of funds held by providers

KnoxxPay is not responsible for any actions, failures, or losses by Third-Party Providers.

13.4 Technology Platform Risks

The Platform may experience:

  • Downtime, interruptions, or errors
  • Cybersecurity incidents
  • Data loss or corruption
  • Software bugs or malfunctions
  • Integration issues with Third-Party Providers

13.5 No Guarantee of Profit

We make no representations or guarantees about potential profits or returns. Past performance of virtual assets is not indicative of future results. You may lose some or all of your invested capital.

13.6 Suitability Assessment

You are solely responsible for:

  • Determining whether our services are suitable for your financial situation
  • Understanding the risks involved
  • Conducting your own research and due diligence
  • Seeking independent financial, legal, or tax advice
  • Making informed decisions about your transactions

13.7 No Financial Advice

We do not provide financial, investment, tax, or legal advice. Information on the Platform is for general informational purposes only and should not be construed as advice or recommendations.

13.8 Your Acknowledgement

By using the Platform, you acknowledge that:

  • You have read and understood these risk warnings
  • You accept full responsibility for any losses incurred
  • You will not hold KnoxxPay liable for market movements, volatility, or investment losses
  • You are using the Platform at your own risk

14. FEES AND CHARGES

14.1 Service Fees

KnoxxPay charges fees for certain services. Fee types include:

  • Transaction Fees: Charged on cryptocurrency purchases, sales, and exchanges
  • Bill Payment Fees: Service fees or convenience charges on certain bill payments
  • Withdrawal Fees: Fees for NGN withdrawals to bank accounts
  • Network Fees: Blockchain transaction fees (paid to networks, not KnoxxPay)
  • Deposit Fees: Fees for specific deposit methods (e.g., card deposits)

14.2 Fee Disclosure

All applicable fees are:

  • Displayed on the Platform before you confirm transactions
  • Deducted automatically from transaction amounts or account balance
  • Shown in your transaction history and receipts

14.3 Fee Changes

We reserve the right to:

  • Modify, increase, or decrease fees at any time
  • Introduce new fees for existing or new services
  • Offer promotional fee waivers or discounts

Fee changes are effective immediately upon posting to the Platform. We will make reasonable efforts to notify you of material fee changes.

14.4 Third-Party Fees

In addition to KnoxxPay fees, you may incur fees charged by:

  • Third-Party Providers (exchange fees, custody fees, service fees)
  • Blockchain networks (gas fees, miner fees)
  • Banks (transfer fees, card processing fees)
  • Payment processors

KnoxxPay is not responsible for third-party fees.

14.5 No Refunds

Fees are generally non-refundable, except:

  • Where explicitly stated otherwise
  • Where a transaction fails due to our error
  • As required by applicable law

15. COMPLIANCE AND REGULATORY MATTERS

15.1 Anti-Money Laundering (AML) and Counter-Terrorism Financing (CTF)

We are committed to preventing money laundering and terrorism financing. You agree to:

  • Provide accurate information for KYC/AML purposes
  • Do not use the Platform for money laundering, terrorist financing, or other financial crimes
  • Cooperate with our compliance investigations and requests for information
  • Promptly respond to requests for additional documentation

15.2 Transaction Monitoring

We monitor transactions for:

  • Suspicious activity
  • Potential money laundering or fraud
  • Compliance with sanctions and regulations
  • Unusual patterns or behaviours

Monitoring may result in:

  • Transaction delays or holds
  • Requests for additional information
  • Account restrictions or termination
  • Reporting to authorities

15.3 Sanctions Compliance

You represent and warrant that you are not:

  • Located in, or a national or resident of, any sanctioned jurisdiction
  • Listed on any sanctions list (UN, US OFAC, EU, UK, etc.)
  • Owned or controlled by any sanctioned person or entity
  • Transacting on behalf of any sanctioned person or entity

We prohibit transactions involving sanctioned persons, entities, or jurisdictions.

15.4 Reporting Obligations

We may be required to report certain information or transactions to:

  • Financial Intelligence Unit (NFIU)
  • Central Bank of Nigeria (CBN)
  • Securities and Exchange Commission (SEC)
  • Economic and Financial Crimes Commission (EFCC)
  • Other regulatory or law enforcement authorities

You agree that we may disclose your information as required by law.

15.5 Cooperation with Authorities

You agree that we may:

  • Respond to lawful requests from authorities
  • Freeze accounts subject to legal process
  • Provide information without notice to you (where permitted by law)
  • Comply with court orders, subpoenas, or regulatory directives

16. DATA PRIVACY

16.1 Privacy Policy

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our collection, use, and disclosure of your personal information as described in the Privacy Policy.

  • Financial information (bank details, transaction history)

17. PROHIBITED ACTIVITIES

17.1 General Prohibitions

You must not use the Platform to engage in or facilitate any of the following prohibited activities:

  • Violation of any laws, statutes, regulations, or ordinances
  • Criminal activity of any kind
  • Money laundering or terrorist financing
  • Tax evasion or fraud
  • Illegal gambling operations
  • Malicious hacking or cybercrimes

b) Fraudulent Activities:

  • Fraud, deception, or misrepresentation
  • Providing false, inaccurate, or misleading information
  • Identity theft or impersonation
  • Phishing or social engineering attacks
  • Creating fake or duplicate accounts

c) Prohibited Transactions:

  • Transactions involving illegal goods or services
  • Transactions with sanctioned persons or jurisdictions
  • Purchase or sale of stolen goods or proceeds of crime
  • Transactions involving weapons, explosives, or dangerous materials
  • Transactions involving controlled substances or illegal drugs

d) Platform Abuse:

  • Attempting to gain unauthorised access to systems or accounts
  • Introducing viruses, malware, or harmful code
  • Interfering with Platform operations or security
  • Imposing an unreasonable load on the infrastructure
  • Using automated systems (bots, scrapers) without authorisation
  • Circumventing security measures or restrictions

e) Intellectual Property Violations:

  • Infringing copyrights, trademarks, or other intellectual property rights
  • Unauthorised use of KnoxxPay branding or materials

f) Market Manipulation:

  • Price manipulation or wash trading
  • Spoofing or layering
  • Front-running or insider trading
  • Market abuse or manipulation

17.2 Prohibited Industries and Activities

The following industries and activities are prohibited: a) Adult Content and Services:

  • Pornography and sexually explicit material
  • Escort services or prostitution
  • Adult live chat or webcam services
  • Dating services with sexual content

b) Drugs and Controlled Substances:

  • Illegal drugs and narcotics
  • Drug paraphernalia
  • Pseudo-pharmaceuticals making unverified health claims
  • Prescription drugs without proper authorisation

c) Gambling:

  • Online casinos and gambling sites
  • Sports betting platforms
  • Lottery services
  • Games of chance for money

d) Multi-Level Marketing:

  • Pyramid schemes
  • Ponzi schemes
  • Chain letters
  • Referral marketing programs promising unrealistic returns

e) High-Risk Financial Services:

  • Investment schemes promising guaranteed high returns
  • Unregistered securities offerings
  • Binary options trading
  • Credit repair or debt settlement services
  • Get-rich-quick schemes

f) Weapons and Violence:

  • Firearms, ammunition, or explosives
  • Weapons of any kind
  • Material promoting violence or terrorism
  • Hate speech or content promoting discrimination

g) Stolen Goods:

  • Stolen property or proceeds of crime
  • Counterfeit goods or currency
  • Pirated media or software

h) Privacy Violations:

  • Sale of personal data without consent
  • Doxxing or harassment
  • Surveillance equipment or spyware

17.3 Restricted Activities

The following activities require prior approval from KnoxxPay:

  • High-value transactions exceeding specified limits
  • Business or commercial use of the Platform
  • Integration with third-party systems or applications
  • Bulk or automated transactions

17.4 Consequences of Prohibited Activities

Engaging in prohibited activities may result in:

  • Immediate account suspension or termination
  • Forfeiture of funds
  • Reporting to law enforcement or regulatory authorities
  • Legal action for damages
  • Permanent ban from the Platform
  • Cooperation with criminal investigations

18. INTELLECTUAL PROPERTY

18.1 Ownership

All intellectual property rights in the Platform, including but not limited to:

  • Trademarks, logos, and branding
  • Software, code, and algorithms
  • Content, text, graphics, and images
  • Design, layout, and user interface
  • Documentation and materials

are owned by KnoxxPay Technologies Limited or our licensors.

18.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Platform for personal, non-commercial purposes
  • Download the mobile application on your personal device

This license does not include any right to:

  • Copy, modify, or create derivative works
  • Reverse engineer, decompile, or disassemble
  • Sell, rent, lease, or sublicense
  • Use for commercial purposes without authorisation

18.3 Restrictions

You may not:

  • Use our trademarks, logos, or branding without written permission
  • Remove, alter, or obscure any copyright or proprietary notices
  • Frame or mirror any part of the Platform
  • Use data mining, robots, or similar data-gathering tools
  • Create derivative works based on the Platform

18.4 User Content

If you provide feedback, suggestions, or other content to KnoxxPay:

  • You grant us a perpetual, irrevocable, worldwide, royalty-free license to use such content
  • We are not obligated to use or respond to your content
  • We may incorporate your feedback without compensation or attribution

18.5 Enforcement

We reserve the right to enforce our intellectual property rights to the fullest extent of the law, including:

  • Seeking injunctive relief
  • Claiming damages
  • Reporting violations to authorities

19. DISCLAIMERS AND WARRANTIES

19.1 “AS IS” Basis

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

19.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KNOXXPAY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: 

a) Implied Warranties:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or completeness
  • Title

b) Service Availability:

  • Uninterrupted or error-free operation
  • Timely, secure, or reliable service
  • Freedom from viruses or harmful components
  • Compatibility with your devices or systems

c) Third-Party Services:

  • Quality, availability, or reliability of Third-Party Provider services
  • Accuracy of information from third parties
  • Performance of third-party systems or networks

d) Data and Information:

  • Accuracy of virtual asset prices or market data
  • Completeness or currency of information
  • Suitability of information for decision-making

19.3 No Guarantee of Results

We do not guarantee:

  • Completion of any transaction
  • Specific transaction speeds or processing times
  • Availability of any particular service or virtual asset
  • Profit, returns, or investment success
  • Resolution of disputes in your favor

19.4 Third-Party Dependencies

You acknowledge that:

  • Services depend on Third-Party Providers beyond our control
  • Third-Party Provider failures may affect Platform functionality
  • Blockchain networks may experience delays, congestion, or failures
  • Internet and telecommunications services may be interrupted

19.5 Risk Assumption

You acknowledge and agree that:

  • You use the Platform at your own risk
  • You are responsible for all decisions made using the Platform
  • You have conducted your own due diligence
  • You have sought independent advice as appropriate

19.6 Legal Limitations

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions may not apply to you, and you may have additional rights.

20. LIMITATION OF LIABILITY

20.1 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL KNOXXPAY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR PARTNERS (COLLECTIVELY, “KNOXXPAY PARTIES”) BE LIABLE FOR ANY:

 a) Indirect, Incidental, or Consequential Damages:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Loss of goodwill or reputation
  • Business interruption
  • Cost of substitute services
  • Emotional distress or mental anguish

b) Direct Damages Exceeding: The total fees paid by you to KnoxxPay in the six (6) months immediately preceding the event giving rise to liability, or NGN 50,000 (Fifty Thousand Naira), whichever is lower.

20.2 Scope of Limitation

This limitation applies to claims based on:

  • Contract, tort, strict liability, or any other legal theory
  • Use or inability to use the Platform
  • Unauthorised access to or alteration of your data
  • Third-party conduct or content on the Platform
  • Any other matter relating to the Platform or services

This limitation applies even if:

  • KnoxxPay has been advised of the possibility of damages
  • A remedy fails of its essential purpose
  • Damages were foreseeable

20.3 Third-Party Liability

KnoxxPay Parties are not liable for:

  • Acts or omissions of Third-Party Providers
  • Failure or malfunction of third-party systems
  • Third-party fraud, theft, or misconduct
  • Blockchain network issues or failures
  • Bank or payment processor errors or delays
  • Internet service interruptions
  • Loss or theft of virtual assets held by third parties

20.4 Force Majeure

KnoxxPay is not liable for failures or delays caused by events beyond our reasonable control, including:

  • Natural disasters (earthquakes, floods, fires)
  • War, terrorism, or civil unrest
  • Government actions or legal restrictions
  • Strikes or labor disputes
  • Epidemics or pandemics
  • Internet or telecommunications failures
  • Power outages or infrastructure failures
  • Acts of God

20.5 Security Breaches

KnoxxPay is not liable for losses resulting from:

  • Your failure to maintain account security
  • Sharing of credentials or 2FA codes
  • Phishing attacks or social engineering
  • Malware or viruses on your device
  • Unauthorized access due to your negligence

20.6 Transaction Losses

KnoxxPay is not liable for losses from:

  • Virtual asset price volatility or market movements
  • Transaction errors due to incorrect information you provided
  • Irreversible transactions sent to wrong addresses
  • Delays in transaction processing
  • Failed transactions due to insufficient funds or limits

20.7 User Disputes

KnoxxPay is not liable for disputes between users or between users and third parties, including:

  • Buyer-seller disputes
  • Service quality disputes
  • Delivery failures
  • Fraud or scams between users

20.8 Legal Requirements

Nothing in these Terms shall exclude or limit liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any matter that cannot be excluded or limited under Nigerian law

20.9 Acknowledgment

You acknowledge that:

  • These limitations are reasonable and fundamental to our business model
  • The fees charged reflect these limitations
  • You would not use the Platform if these limitations were not in place
  • You have had the opportunity to seek legal advice regarding these limitations

21. INDEMNIFICATION

21.1 Your Indemnification Obligation

You agree to indemnify, defend, and hold harmless KnoxxPay Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and legal costs) arising from or related to: 

a) Your Use of the Platform:

  • Breach of these Terms
  • Violation of any law or regulation
  • Infringement of third-party rights
  • Negligence or willful misconduct

b) Your Transactions:

  • Disputes with other users or third parties
  • Fraudulent or unauthorized transactions
  • Incorrect or incomplete transaction information
  • Claims by recipients or service providers

c) Your Content:

  • Any content you submit or transmit through the Platform
  • Intellectual property infringement
  • Defamation or privacy violations

d) Your Account:

  • Unauthorized use resulting from your failure to secure your account
  • Use of your account by third parties with your knowledge or permission
  • Multiple accounts or circumvention of restrictions

e) Tax Obligations:

  • Failure to pay taxes on your transactions
  • Tax penalties or interest
  • Disputes with tax authorities

21.2 Defense and Settlement

If we are entitled to indemnification:

  • We will promptly notify you of the claim
  • You will assume control of the defense (with counsel acceptable to us)
  • We may participate in the defense at our expense
  • You may not settle without our prior written consent
  • We reserve the right to assume exclusive defense at any time

21.3 Cooperation

You agree to:

  • Cooperate fully in the defense of any claim
  • Provide information and access to records
  • Not make any statements that could prejudice our defense
  • Not admit liability without our consent

21.4 Survival

Your indemnification obligations survive termination of these Terms and your use of the Platform.

22. TERMINATION

22.1 Termination by You

You may terminate these Terms and close your Account at any time by:

  • Submitting a termination request through the Platform
  • Contacting our support team at support@knoxxpay.com
  • Following our account deletion process (see Section 24)

Before termination:

  • Complete or cancel all pending transactions
  • Withdraw all funds from your Account
  • Resolve any disputes or claims
  • Download any records or information you wish to keep

22.2 Termination by KnoxxPay

We may suspend, restrict, or terminate your Account immediately and without prior notice if: 

a) Breach of Terms:

  • You violate any provision of these Terms
  • You engage in prohibited activities
  • You provide false or misleading information
  • You fail KYC verification or refuse to provide required documents

b) Legal or Regulatory Reasons:

  • Required by law, court order, or regulatory directive
  • To comply with sanctions or legal obligations
  • You become subject to legal restrictions or sanctions
  • Legal proceedings are initiated against you

c) Risk or Security Concerns:

  • We suspect fraud, money laundering, or illegal activity
  • Your account poses security risks
  • We detect unusual or suspicious activity
  • Multiple failed login attempts or security alerts

d) Operational Reasons:

  • You abuse or misuse the Platform
  • You create multiple accounts to circumvent limits
  • You engage in market manipulation
  • You harm other users or KnoxxPay’s reputation

e) Third-Party Issues:

  • Third-Party Providers terminate services to you
  • You violate Third-Party Provider terms
  • Third-party fraud or chargebacks

22.3 Effect of Termination

Upon termination:

  • Your right to access the Platform immediately ceases
  • All licenses granted to you are revoked
  • We may retain your information as required by law (minimum 5 years)
  • You remain liable for all obligations incurred before termination
  • Provisions that by their nature should survive (indemnification, liability limitations, dispute resolution) continue in effect

22.4 Account Closure Process

If we terminate your Account:

  • We will make reasonable efforts to notify you by email
  • You may be required to withdraw funds within a specified timeframe
  • We may refuse, delay, or condition withdrawal of funds if:
  • Required by law or legal process
  • Funds are subject to dispute or investigation
  • Your account has outstanding obligations
  • We suspect fraud or illegal activity

22.5 No Liability for Termination

KnoxxPay shall have no liability for:

  • Termination of your Account
  • Inability to access your Account after termination
  • Deletion of your information
  • Losses resulting from termination

We are not required to:

  • Provide reasons for termination
  • Restore your Account
  • Maintain your data after legal retention periods

23. DISPUTE RESOLUTION

23.1 Informal Resolution

Before initiating formal dispute resolution, you agree to:

  1. Contact our support team at support@knoxxpay.com
  2. Provide a detailed description of the dispute
  3. Allow us 30 days to investigate and respond
  4. Engage in good faith negotiations to resolve the dispute

Many disputes can be resolved through this informal process.

23.2 Notification Requirement

You must notify us of any claim or dispute within 30 days of the event giving rise to the claim. Claims not reported within this period may be waived.

23.3 Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

23.4 Jurisdiction

You agree that:

  • Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria
  • You submit to the personal jurisdiction of Nigerian courts
  • You waive any objection to venue in Nigerian courts

23.5 Dispute Categories

Disputes may include but are not limited to:

  • Transaction disputes (failed, delayed, or incorrect transactions)
  • Fee disputes
  • Account access issues
  • Service quality complaints
  • Alleged breaches of these Terms
  • Intellectual property claims

23.6 Dispute Process

For transaction disputes:

  1. Initial Report: Submit dispute within 7 days of transaction
  2. Investigation: We investigate and contact Third-Party Providers (5-14 business days)
  3. Resolution: We provide a written response with our findings
  4. Appeal: If dissatisfied, you may escalate to formal legal process

23.7 Evidence Requirements

When filing a dispute, you must provide:

  • Transaction details (date, amount, reference)
  • Supporting documentation (receipts, screenshots, bank statements)
  • Description of the issue and desired resolution
  • Any communications with third parties

23.8 Limitation Period

Any legal action arising from these Terms must be commenced within one (1) year after the cause of action accrues. Claims brought after this period are barred.

23.9 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. You waive any right to:

  • Bring claims as a class action, consolidated action, or representative action
  • Join in any claim with other users
  • Act as a class representative or class member

23.10 Injunctive Relief

Notwithstanding the above, KnoxxPay may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent:

  • Intellectual property infringement
  • Unauthorized access to systems
  • Violations that cause irreparable harm
  • Breach of confidentiality obligations

24. ACCOUNT DELETION

24.1 Right to Delete

You have the right to request permanent deletion of your KnoxxPay Account at any time.

24.2 Pre-Deletion Requirements

Before requesting account deletion, ensure:

  • All pending transactions are completed or cancelled
  • Your account balance is zero (withdraw all funds)
  • All disputes or complaints are resolved
  • You have downloaded any records or information you wish to keep
  • Outstanding fees or obligations are settled

24.3 Deletion Request Process

To request account deletion:

  1. Log in to your Account
  2. Navigate to Settings > Account > Delete Account
  3. Review the deletion consequences
  4. Confirm your identity (2FA verification)
  5. Submit deletion request

Alternatively, contact support@knoxxpay.com with:

  • Subject line: “Account Deletion Request”
  • Account email address
  • Reason for deletion (optional)

24.4 Processing Time

  • Deletion requests are processed within 7-14 business days
  • You will receive confirmation once deletion is complete
  • During processing, your Account will be suspended

24.5 Consequences of Deletion

Once deleted:

  • Your Account is permanently closed and cannot be reactivated
  • You lose access to all account data and transaction history
  • You cannot create a new account using the same credentials for 90 days
  • Any remaining balance may be forfeited if not withdrawn beforehand
  • These Terms are terminated

24.6 Data Retention

Even after deletion, we retain certain data as required by law:

  • KYC information: 5 years minimum
  • Transaction records: 5 years minimum
  • Compliance-related data: As required by regulators
  • Data subject to legal holds or investigations: Until resolved

Retained data is maintained securely and used only for legal compliance purposes.

24.7 Deletion Restrictions

We may refuse or delay account deletion if:

  • You have pending transactions or unresolved disputes
  • Your account is subject to legal process or investigation
  • You have outstanding obligations or debts
  • Required by law or court order
  • There are unresolved regulatory inquiries

24.8 Post-Deletion Contact

After deletion:

  • We may still contact you regarding legal or regulatory matters
  • You may contact us regarding retained data per privacy laws
  • You have no further obligations except those that expressly survive termination

25. NOTICES

KnoxxPay may provide notices to you:

  • By email to your registered email address
  • Through in-app notifications or alerts
  • By posting on the Platform
  • By SMS to your registered phone number
  • By mail to your registered address (for important legal notices)

25.2 When Notices Are Effective

Notices are deemed received:

26. GENERAL PROVISIONS

26.1 Entire Agreement

These Terms, together with:

  • Our Privacy Policy
  • Any additional terms for specific services
  • Any amendments or modifications

constitute the entire agreement between you and KnoxxPay regarding the Platform and supersede all prior or contemporaneous communications, whether electronic, oral, or written.

26.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court:

  • The invalid provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable
  • If modification is not possible, the provision shall be severed
  • The remaining provisions shall continue in full force and effect

26.3 No Waiver

KnoxxPay’s failure to enforce any right or provision of these Terms shall not constitute a waiver of:

  • That right or provision
  • Any other rights or provisions
  • Future enforcement of the same provision

Any waiver must be in writing and signed by an authorized KnoxxPay representative.

26.4 Assignment

You may not assign or transfer these Terms or your Account to any third party without our prior written consent. KnoxxPay may assign or transfer these Terms or any rights hereunder:

  • Without notice or consent
  • To any affiliate or subsidiary
  • In connection with a merger, acquisition, or sale of assets
  • To any successor entity

26.5 No Agency

Nothing in these Terms creates any:

  • Partnership, joint venture, or agency relationship
  • Employment relationship
  • Fiduciary duty or special relationship
  • Right to bind KnoxxPay to any obligation

You and KnoxxPay are independent contractors.

26.6 Third-Party Rights

These Terms are between you and KnoxxPay only. No third party has any right to enforce any provision of these Terms.

26.7 Force Majeure

KnoxxPay is not liable for any delay or failure to perform obligations under these Terms due to events beyond our reasonable control, including but not limited to:

  • Natural disasters
  • War, terrorism, or civil unrest
  • Government actions, laws, or regulations
  • Internet or telecommunications failures
  • Power outages or infrastructure failures
  • Pandemics or public health emergencies
  • Strikes or labor disputes
  • Third-Party Provider failures
  • Blockchain network issues

Our obligations are suspended for the duration of such events.

26.8 Survival

The following provisions survive termination of these Terms:

  • Indemnification (Section 21)
  • Limitation of Liability (Section 20)
  • Dispute Resolution (Section 23)
  • Intellectual Property (Section 18)
  • Data Retention (Section 16.6)
  • Any provisions that by their nature should survive

You consent to receive communications from us electronically and agree that electronic communications satisfy any legal requirement that communications be in writing.

When using Third-Party Provider services through the Platform:

  • You may be subject to additional terms and conditions
  • Third-party terms do not modify these Terms
  • In case of conflict, these Terms govern your relationship with KnoxxPay

26.13 Compliance with Laws

You are responsible for:

  • Compliance with all applicable laws in your jurisdiction
  • Determining the legality of using our services in your location
  • Any licenses or registrations required in your jurisdiction

26.14 Updates and Modifications

We may update, modify, or improve the Platform at any time without notice. Updates may:

  • Add, modify, or remove features
  • Change user interface or functionality
  • Affect service availability or performance

If you provide feedback, suggestions, or ideas:

  • You grant us a perpetual, royalty-free license to use them
  • We have no obligation to implement or respond to feedback

  4. You accept that KnoxxPay is a technology platform relying on Third-Party Providers
  5. You are responsible for compliance with all applicable laws
  6. You have the legal capacity to enter into this agreement
  7. You will not use the Platform for any prohibited activities

If you do not agree to these Terms, you must not access or use the Platform.
